Japanese financial services giant SBI Holdings has agreed to acquire cryptocurrency exchange Bitbank in a deal valued at approximately ¥46.7 billion ($289 million), further expanding its presence in the country’s digital asset market.
The transaction is expected to make Bitbank a wholly owned subsidiary of SBI Group, strengthening the company’s position among Japan’s largest crypto operators. The deal remains subject to regulatory approvals and other customary closing conditions.
Bitbank is one of Japan’s leading cryptocurrency exchanges and has built a strong reputation in the domestic market through its trading platform and security-focused operations. The company has operated since 2014 and has reported no major security breaches since its launch.
The acquisition is part of SBI’s broader strategy to expand its digital asset business through acquisitions and consolidation. Over the past year, the company has continued to increase its exposure to the cryptocurrency sector, integrating multiple crypto-related businesses under its financial services ecosystem.
Under the planned transaction structure, an SBI subsidiary will acquire shares from Bitbank’s founder and other individual shareholders before completing additional share purchases from existing investors. Once finalized, Bitbank will become part of SBI’s growing portfolio of digital asset businesses.
The deal is expected to significantly increase SBI’s crypto assets under custody. Combined with the group’s existing digital asset operations, the acquisition could push total custody assets beyond the ¥1 trillion mark, making SBI one of the largest crypto operators in Japan.
SBI has been actively consolidating its position in the Japanese crypto market. Earlier this year, the company integrated additional crypto exchange operations into its existing structure as part of efforts to improve efficiency and expand market share. The addition of Bitbank further strengthens that strategy.
The acquisition comes at a time when Japan’s digital asset industry is undergoing significant change. Policymakers are considering regulatory reforms that could bring cryptocurrencies under a framework more closely aligned with traditional financial products, increasing compliance and reporting requirements for market participants.
Industry observers view the transaction as another sign of consolidation within Japan’s regulated crypto sector, where larger financial institutions are seeking scale, stronger infrastructure, and broader customer reach. As competition intensifies, acquisitions have become an increasingly common strategy for firms looking to strengthen their position in the market.
For Bitbank users, the company has indicated that existing services will continue to operate as normal throughout the acquisition process. The exchange stated that customers can continue using the platform without interruption while the transaction moves toward completion.
The deal highlights the growing convergence between traditional financial institutions and the digital asset industry as major financial groups continue investing in cryptocurrency infrastructure and services.
